These Terms of Service ("Terms") govern your access to and use of the Funnel One website and application (the "Services") provided by Funnel One ("Funnel One", "we", "us"). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Services
Funnel One provides an outbound sales-intelligence platform that detects buying signals on Shopify Plus stores, enriches and scores companies, and orchestrates outbound programs. We may update, improve, or modify the Services over time.
2. Accounts & eligibility
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. The Services are for business use by users aged 16 or older; they are not intended for consumers or children.
3. Acceptable use
You agree not to:
- Use the Services to send unlawful, deceptive, or unsolicited bulk communications in violation of applicable anti-spam laws (including CAN-SPAM, CASL, and GDPR/ePrivacy).
- Reverse engineer, resell, or provide unauthorized access to the Services.
- Upload malicious code or attempt to disrupt or gain unauthorized access to the Services.
- Use the Services to process data you do not have a lawful basis to process.
You are responsible for your outbound content and for complying with all laws applicable to your outreach.
4. Customer data
You retain ownership of the data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data.
5. Third-party services
The Services integrate with third parties (for example, Google, Slack). Your use of those integrations is subject to the third party's terms. When you connect a Google account, you also agree to Google's applicable terms, and our use of Google data follows the Limited Use commitments in our Privacy Policy.
6. Fees
Paid plans are billed as described in your order or agreement. Fees are non-refundable except as required by law or expressly stated in your agreement.
7. Intellectual property
The Services, including all software, design, and content we provide, are owned by Funnel One and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that any signal or score is accurate or complete.
10. Limitation of liability
To the maximum extent permitted by law, Funnel One will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us in the 12 months preceding the claim.
11. Indemnification
You will defend and indemnify Funnel One against claims arising from your Customer Data, your outbound content, or your breach of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or where required by law. Upon termination, your right to use the Services ends and we will handle your data as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, unless your written agreement with us states otherwise.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and, where appropriate, additional notice. Continued use of the Services after changes take effect constitutes acceptance.
